Soonest provides a cloud-based workforce scheduling platform designed for healthcare organizations, including emergency physician groups and urgent care chains. The platform includes AI-assisted schedule generation, shift management, time and attendance tracking, and related tools (collectively, the "Service").
Your organization designates one or more administrators responsible for managing access to the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@getsoonest.com if you suspect unauthorized access.
Access to Soonest is provided on a subscription basis. Your subscription tier, user limit, and billing terms are established at sign-up. Subscriptions renew automatically unless cancelled before the renewal date. We reserve the right to update pricing with 30 days' notice. Unpaid accounts may have access suspended after a reasonable grace period.
You retain ownership of all scheduling data, employee information, and other content you input into the Service ("Customer Data"). You grant Soonest a limited license to process Customer Data solely to provide the Service. We will not use your Customer Data for any other purpose. Upon termination, you may export your data within 30 days. After that period, data may be deleted from our systems.
You represent that you have the legal right to input any data you provide, including any employee personal information, and that doing so complies with applicable employment and privacy laws.

Certain plans include access to a dedicated Schedule Assistant who provides onboarding, configuration, and ongoing scheduling support. This service is provided as part of your subscription and is subject to the scope defined in your plan. Soonest reserves the right to modify support scope with reasonable notice.
The Service, including all software, algorithms, visual design, and documentation, is owned by Soonest and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Soonest's intellectual property to you.
Both parties agree to keep confidential any non-public information disclosed by the other party in connection with these Terms, and to use it only to fulfill obligations under these Terms.
The Service is provided "as is" and "as available." We make no warranty that the Service will be uninterrupted, error-free, or meet every specific requirement. We disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the extent permitted by law.
To the maximum extent permitted by law, Soonest's liability for any claim arising from these Terms or use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your account immediately if you materially breach these Terms. Upon termination, your access to the Service ends and you must cease using it. Sections covering data ownership, confidentiality, liability, and governing law survive termination.
These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Utah County, Utah, and both parties consent to that jurisdiction.
We may update these Terms from time to time. We will notify you of material changes via email or in-platform notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
